Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the PropDirect platform, website, and services operated by PropDirect FZ-LLC (“PropDirect”, “we”, “our”, or “us”), incorporated in the United Arab Emirates. By accessing or using PropDirect, you agree to be bound by these Terms. If you do not agree, you must not use the platform.

1. About PropDirect

PropDirect is an AI-powered property marketplace operating in the UAE. We provide a technology platform that connects property buyers, sellers, developers, RERA-licensed agents, landlords, and tenants. PropDirect operates as a marketplace and technology provider — not as a real estate broker, financial adviser, legal adviser, or mortgage lender.

2. Eligibility

To use PropDirect you must:

• Be at least 18 years of age.
• Have the legal capacity to enter into binding contracts under UAE law.
• Provide accurate and truthful information during registration and KYC verification.
• For RERA agents: hold a valid, current RERA broker licence issued by the Dubai Land Department.
• For developers: be a legally registered entity in the UAE with valid development authorisation.

3. User Roles & Accounts

PropDirect serves the following user categories:

• Buyers: May browse listings, use AI valuation and mortgage tools, and submit offers. Buyers always pay zero commission on PropDirect.
• Direct Sellers / Developers: May list properties directly at a 1.5% listing fee payable to PropDirect upon successful transaction completion.
• RERA Agents: May list properties on behalf of seller clients. Agents keep their 2% commission; PropDirect earns a referral fee of 20–30% from the agent. Agent subscriptions available from AED 500–2,500/month.
• Landlords / Property Owners: May list long-term rental and holiday home properties subject to valid EJARI and DTCM permits.
• B2B API Users: Banks, developers, and PropTech firms accessing our Data API under a separate B2B agreement.

4. Platform Services

PropDirect provides the following services:

• AI-powered property search, valuation (AVM), and market intelligence.
• Direct property listing for developers and private sellers.
• Agent listing portal for RERA-licensed brokers.
• 60-second mortgage pre-approval via Open Banking API (Emirates NBD and other licensed UAE lenders).
• Automated transaction documents: MOU, NOC, EJARI, OQOOD, and DLD title deed transfer support.
• KYC and AML screening via WorldCheck on all transaction parties.
• Short-term rental management including DTCM compliance and dynamic pricing.
• NRI onboarding and FEMA compliance support for international buyers.
• Golden Visa eligibility calculation (informational only — not legal advice).
• Commercial real estate services including hotel and office acquisition support.

5. Fees & Payments

All fees are exclusive of UAE Value Added Tax (VAT) at 5% where applicable. PropDirect reserves the right to amend its fee structure with 30 days’ notice to registered users. Agent subscriptions are non-refundable once the billing period has commenced.

6. Listing Standards & Prohibited Content

All listings on PropDirect must:

• Be for real, legally available properties within the UAE.
• Include accurate pricing, specifications, and documentation.
• Comply with RERA advertising standards and DLD listing requirements.
• Not contain false, misleading, or fraudulent information.
• For short-term rentals: include a valid DTCM permit number.
• For long-term rentals: include a valid EJARI registration or indicate pre-registration status.

PropDirect reserves the right to remove any listing that violates these standards without notice and without liability.

7. KYC, AML & Regulatory Compliance

All users completing transactions are subject to mandatory KYC and AML screening in accordance with UAE Federal Decree-Law No. 20 of 2018 on Anti-Money Laundering. By using PropDirect, you:

• Consent to identity verification via UAE Pass or document-based KYC.
• Consent to WorldCheck AML/PEP screening.
• Confirm that all funds used in property transactions are from legitimate sources.
• Acknowledge that PropDirect is required by law to report suspicious transactions to the UAE Financial Intelligence Unit (UAEFIU).

PropDirect reserves the right to suspend or terminate accounts where KYC/AML checks cannot be completed satisfactorily.

8. AI Services & Disclaimers

PropDirect’s AI-powered features — including AVM valuations, investment scoring, mortgage pre-qualification, offer strategy, and Golden Visa eligibility calculations — are provided for informational and decision-support purposes only. They do not constitute:

• A legally binding property valuation.
• Financial, investment, or mortgage advice.
• Legal advice of any kind.
• A guarantee of mortgage approval from any lender.
• Immigration advice regarding Golden Visa eligibility.

AI valuations carry a stated confidence level (currently 94%) but are not a substitute for a professional RICS valuation. Users should obtain independent professional advice before completing any transaction.

9. Intellectual Property

All content, technology, software, AI models, branding, and data on PropDirect are the intellectual property of PropDirect FZ-LLC or its licensors. You may not copy, reproduce, distribute, or create derivative works from any PropDirect content without our prior written consent. Property listing content submitted by users remains the property of the submitting party, but by listing on PropDirect you grant us a non-exclusive licence to display and promote that content on the platform.

10. Limitation of Liability

To the maximum extent permitted by UAE law, PropDirect shall not be liable for:

• Any loss or damage arising from reliance on AI-generated valuations, scores, or recommendations.
• Transaction disputes between buyers, sellers, agents, or developers.
• Third-party service failures including Open Banking API interruptions, WorldCheck delays, or DLD system downtime.
• Any indirect, consequential, or special losses arising from use of the platform.
• Losses arising from inaccurate information submitted by users.

PropDirect’s total aggregate liability to any user shall not exceed the fees paid by that user to PropDirect in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless PropDirect FZ-LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the platform, your breach of these Terms, or your violation of any applicable law.

12. Termination

PropDirect reserves the right to suspend or terminate your access at any time, with or without notice, if you breach these Terms, fail KYC/AML screening, violate RERA standards, or engage in conduct that is fraudulent, harmful, or unlawful. Upon termination, your right to use the platform ceases immediately. Obligations that by their nature should survive termination (including fees owed, confidentiality, and dispute resolution) shall continue.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the United Arab Emirates. Any disputes arising under these Terms shall first be subject to good-faith negotiation between the parties. If unresolved within 30 days, disputes shall be referred to the courts of the Emirate of Dubai, UAE, which shall have exclusive jurisdiction.

14. Amendments

PropDirect may update these Terms at any time. We will notify registered users of material changes with at least 14 days’ notice via email or platform notification. Continued use of the platform after the effective date constitutes your acceptance of the updated Terms.
